Terms of Service

These terms are the agreement between you and DuckHouse for using the DuckHouse website, dashboard, API, MCP server and warehouses (the "Service"). By creating an account or using the Service you agree to them. If you use it for a company, you agree on its behalf and confirm you are allowed to.
01The Service
DuckHouse is operated by JoeDesigns.com, 110 2nd St Sutie 501 Albuquerque NM 87102 ("DuckHouse", "we", "us"). The Service runs managed DuckDB databases on cloud infrastructure, with connectors that copy data into them from other systems.
The Service is in early access and currently available by invitation. Features will change, and some may be added, changed or removed without notice while we build it.
02Accounts and organizations
You must give accurate information when you sign up and keep it current. You are responsible for everything done with your account, and for keeping your password, API keys and database tokens secret. Tell us straight away at hello@duckhouse.co if you think one has been exposed.
Databases, connectors and billing belong to an organization. Its owners and admins control who can join and what they can do. Anyone holding one of the organization's API keys or database tokens can act with that key's access, so treat them like passwords.
You must be at least 16, and old enough to form a binding contract where you live.
03Your data
You keep all rights to the data you put into the Service or sync into it ("Customer Data"). You give us permission to store, copy, process and transmit it only as needed to provide the Service to you, and as described in our Privacy Policy.
You are responsible for having the right to use the Customer Data you load, including data you sync from third-party services, and for complying with the terms of those services.
Deletion is immediate. Deleting a database permanently removes it, its storage and its backups straight away. We cannot recover it afterwards.
Keep your own copies. We take snapshots and backups, but we do not guarantee that any backup exists or can be restored. You are responsible for keeping independent copies of data you cannot afford to lose.
04Acceptable use
You must not use the Service to:
- break the law, or store or process data you have no right to;
- store malware, or attack, scan or disrupt any system, including ours;
- mine cryptocurrency, or use warehouses for work that is not data processing;
- get around usage limits, billing or the access controls between organizations;
- send spam, or collect other people's personal data without a lawful basis;
- resell the Service without our written agreement.
We may investigate suspected violations, and may stop a warehouse or suspend an account to protect the Service or other customers.
05Fees and payment
The Service is billed on usage at the rates on our pricing page: compute for the time a warehouse runs, storage for what you keep, and the data transfer that page lists as billable. There is no subscription and no minimum.
We measure usage continuously and issue a statement for each calendar month. It is charged to the payment method on file through Stripe. Any credits on your account are applied first; credits have no cash value and may expire. A month that comes to less than $0.50 is not charged. Prices exclude taxes, which you pay where they apply.
We may change prices with at least 30 days' notice. New prices apply from the next billing month after the notice period.
If a payment fails, we will let you know, and you must bring the account up to date. If it stays unpaid, we may stop your warehouses until it is paid. Fees are non-refundable except where the law requires otherwise or we agree in writing.
If you believe a statement is wrong, tell us at hello@duckhouse.co within 60 days of the statement date.
06Third-party services
Connectors reach into services you choose, such as databases, payment platforms and ad accounts, using the credentials you give us. Those services are not ours; your use of them is governed by your agreement with them, and we are not responsible for their availability or for changes to their APIs.
DuckHouse runs on infrastructure from providers including Fly.io and Tigris, and is built on DuckDB. DuckHouse is independent and is not affiliated with or endorsed by the DuckDB Foundation or DuckDB Labs.
07Availability and support
We work to keep the Service running, but we do not promise it will be available without interruption, and we offer no service-level agreement unless we sign one with you. Maintenance, updates to warehouse software and problems at our providers can cause downtime. Support is available by email at hello@duckhouse.co.
08Our intellectual property
We own the Service, including its software, design and documentation, apart from the open-source components it uses, which remain under their own licenses. These terms give you a right to use the Service while your account is in good standing; they do not transfer any ownership.
If you send us feedback or suggestions, we may use them without owing you anything.
09Ending the agreement
You can stop using the Service at any time by deleting your databases and asking us to close your account. Usage up to that point is still billed.
We may suspend or close an account that breaks these terms, has unpaid fees, or puts the Service or others at risk. Where we reasonably can, we will warn you first and give you a chance to export your data. We may also discontinue the Service entirely with at least 30 days' notice.
Sections that by their nature should survive (fees owed, your data, intellectual property, disclaimers, liability and disputes) survive the end of the agreement.
10Disclaimers
The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and that the Service will be error-free or that data will not be lost or corrupted.
11Limitation of liability
To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, however caused.
Our total liability for all claims relating to the Service is limited to the greater of the fees you paid us in the 12 months before the claim arose and US$100.
Some places do not allow these limits, so they apply only as far as the law permits.
12Indemnity
You will defend and indemnify DuckHouse against claims by third parties arising from your Customer Data, or from your use of the Service in breach of these terms or the law.
13Governing law and disputes
These terms are governed by the laws of United States / New Mexico, without regard to its conflict-of-laws rules. Disputes will be resolved in the courts of United States / New Mexico, and both parties agree to their jurisdiction.
14Changes to these terms
We may update these terms. When we do, we change the date at the top, and for a material change we will notify account owners by email or in the dashboard at least 30 days before it takes effect. Continuing to use the Service after that means you accept the new terms.
15General
These terms, the Privacy Policy and any order or agreement we sign with you are the whole agreement between us about the Service. If a provision is unenforceable, the rest still apply. Not enforcing a provision is not a waiver of it. You may not transfer these terms without our consent; we may transfer them to a successor. Questions go to hello@duckhouse.co.
